My corporate work covers a broad range of matters, including corporate formation and governance, contract drafting and review, intellectual property licensing agreements (both domestic and international), employment matters, domestic intellectual property (primarily trademark) queries, bank transactions and other related business matters.
I have represented well-established businesses in a variety of industries, as well as startup companies seeking to create a presence in the markektplace. Through the years, many of my business clients have been technology-based companies. Similarly, I have worked with businesses both in and out of Massachusetts, including internationally-owned companies with operations in the United States.
As an example, I served as outside general counsel to Envox Worldwide, an international telephony software and services company based in Sweden and Massachusetts. During my tenure as counsel, I worked with company executives, sales and technical staff on a full range of corporate legal matters, and was directly involved in virtually all customer negotiations, including negotiations in the US domestic market, as well as the EMEA and APAC regions. I also served as principal counsel to the board of directors in the sale of Envox Worldwide to Enghouse Systems Limited in October 2008.
I also handle residential and commercial real estate matters within Massachusetts, in support of my business and estate planning clients.
I have also assisted a variety of nonprofit organizations with formation and operational matters, including the preparation of Form 1023 for submission to the Internal Revenue Service.
